1. Acceptance of Terms

By accessing or using Shopiva ("Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including merchants who create stores on the platform.

2. Description of Service

Shopiva is a multi-tenant SaaS platform that allows users to create and manage online stores. We provide tools for product listing, order management, payments, analytics, and storefront customization. Features vary by subscription plan.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your password and for all activity that occurs under your account. You must be at least 18 years old to use the Service.

4. Subscriptions & Billing

Paid plans are billed monthly. You authorize us to charge your payment method on a recurring basis. Prices are subject to change with 30 days' notice. Failing to pay may result in service suspension. Refunds are available within 7 days of initial payment on a case-by-case basis.

5. Acceptable Use

You agree not to use Shopiva to:

• Sell illegal, counterfeit, or prohibited products
• Engage in fraudulent transactions or impersonation
• Distribute malware, spam, or harmful content
• Violate any applicable law or third-party rights
• Attempt to gain unauthorized access to the platform or other users' data

We reserve the right to suspend or terminate accounts that violate these rules.

6. Merchant Responsibilities

As a merchant, you are solely responsible for your store's content, products, pricing, customer service, order fulfillment, taxes, and compliance with applicable laws. Shopiva is a platform provider, not a seller of record.

7. Payments & Third-Party Processors

Shopiva integrates with third-party payment processors (Stripe, PayPal). By using payment features, you agree to those processors' terms of service. Shopiva is not responsible for payment disputes, chargebacks, or processing failures.

8. Intellectual Property

Shopiva and its underlying technology are owned by us and protected by intellectual property laws. You retain ownership of your store content and data. By using the Service, you grant us a limited license to host and display your content as necessary to operate the platform.

9. Data & Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Disclaimers

The Service is provided "as is" without warranties of any kind. We do not guarantee uninterrupted, error-free service. To the maximum extent permitted by law, we disclaim all implied warranties including merchantability and fitness for a particular purpose.

11. Limitation of Liability

To the fullest extent permitted by law, Shopiva shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service. Our total liability shall not exceed the amount you paid in the 12 months prior to the claim.

12. Termination

You may cancel your account at any time. We reserve the right to suspend or terminate your account for violations of these Terms. Upon termination, your data may be deleted after a 30-day grace period.

13. Changes to Terms

We may update these Terms from time to time. We will notify users of material changes via email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.
